Terms and Conditions
Interspire is the licensed provider of BigCommerce ecommerce and shopping cart software (herein referred to as "BigCommerce Software"). Partner wishes to create a revenue stream through their ongoing referrals to Interspire, via a co-branded landing page with both Interspire's and Partner's names and logos prominently displayed: 1. Appointment: Interspire hereby appoints Partner as an Interspire co-branded referral partner for the BigCommerce software, which includes the software, documentation, and any other related materials which may be supplied by Interspire from time to time. A Co-Branded Referral Partner is defined as any company that agrees to promote and refer prospective new customers of BigCommerce to Interspire. 2. Co-Branded Landing Page: Partner is entitled to the creation of a co-branded landing page upon which will be prominently displayed the logos of the Partner and Interspire. The co-branded page will be coded with the Partner ID so all transactions and sales can be tracked and correctly applied to Partner's account. Transactions and sales will be tracked using a 120-day browser cookie. 3. Performance Guarantee: There is no performance guarantee or requirement that a Co-Branded Reseller must meet either on a monthly or annual basis. 4. Acceptance and Termination of Agreement: This agreement will begin upon Partner acceptance of this Co-Branded Reseller Agreement. Applying to become a Co-Branded partner at the BigCommerce website implies your acceptance of the terms laid out in this agreement. In the case of termination neither party shall be liable to the other because of such termination or non-renewal. Notwithstanding termination or non-renewal, the agreement shall be binding with respect to commission payments to Partner, for existing Partner accounts, and continue for the life of the account. 5. Commission: From the date hereof, Interspire agrees to pay Partner a commission of 25% of all monthly sales revenue collected from customers referred by Partner through the co-branded landing page. Once a visitor becomes a customer, the Partner ID will be hard coded to the customer account and Partner will continue to receive 25% of all recurring revenue from that customer for the life of that customer. To check statistics, Partner may at any time log onto their partner account at www.bigcommerce.com/partners to track total number of customer, and total billing for any month. The needed user name and password will be provided via email. Commissions earned by Partner in the previous month, less any refunds, charge backs, non-payments, or defaults, shall be paid to Partner by PayPal every month. Commission payments are only made to Partner when they exceed $30.00 in any given month. Earned commissions that are not paid shall accrue until, in aggregate, they exceed $30.00. 6. Interspire Responsibilities: a. Interspire will create a co-branded landing page for Partner to send prospects to. b. Interspire will provide access to BigCommerce software for referred customers through its web site at www.bigcommerce.com. c. Interspire will provide training on best practices for use of BigCommerce software. d. Interspire maintains a strict anti-spam policy to which it adheres at all times. e. Interspire will provide its full-featured BigCommerce software product for trial users and subscribers. f. Interspire is responsible for all first line customer service, training, support and billing to Reseller's customers. g. Interspire shall respond promptly and professionally to technical questions regarding the products and other inquiries by Partner's customers. 7. Co-Branded Referral Partner's Responsibilities: The Partner agrees to promote Interspire's software utilizing any of a number of mutually agreed upon techniques or methods including but not limited to: control panel integration, text links, graphic advertisements, content pages, banners, prospect or customer mailings, recommendations, and direct sales. 8. Interspire Pricing: Interspire reserves the right to review, modify or change its posted pricing at any time and without regard, limitation or restriction by reseller or to this agreement or any terms contained within. 9. Disclaimer of Warranty: Interspire shall make no claims, representations or warranties to its customers as to performance or deliverability regarding its software. Interspire is not responsible or liable for any downtime or failure of performance or slowdown in deliverability that may occur from time to time due to weather, local or regional utility outages, or other non-controllable circumstances. 10. Limited Liability: Interspire shall not be liable for any losses of profits, loss of business or goodwill, loss of data or use of data, interruption of business, nor for direct, special, incidental, or consequential damages of any kind however caused. Reseller, in no event, will hold Interspire liable under or arising out of this agreement. 11. Entire Agreement: This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof, and superseded all previous proposals, oral or written, and all negotiations, conversations of discussion heretofore and between the parties related to this Agreement. Each party acknowledges that it has not been induced to enter into this Agreement by any representation or statements, oral or written, not expressly contained herein.
